ONCAP, in partnership with operating company management teams, invests in and builds shareholder value in North American small and mid-size companies that are leaders in their defined market niche and possess meaningful growth potential.

ONCAP transactions encompass a wide variety of situations including minority and control ownership positions in privately owned businesses, non-core divisions of larger organizations and publicly traded companies. ONCAP will also provide equity capital to businesses to facilitate the execution of strategic acquisition and organic growth initiatives. In partnership with management, we design flexible and creative transaction structures that best position a business for long-term and sustainable growth.

ONCAP is the mid-market private equity platform of Onex. With offices in Toronto, New York and London, Onex is one of the oldest and most successful private equity firms. Onex acquires and builds high-quality businesses in partnership with talented management teams. The Company has approximately US$22.6 billion of assets under management, including US$6 billion of Onex capital, in private equity, credit securities and real estate.

Onex invests its capital directly and as a largest limited partner in its Funds. Over 30 years, Onex has built more than 85 businesses, generating a gross multiple of invested capital of 2.7 times from its core private equity activities, resulting in a 28 percent gross compound annual return on realized, substantially realized and publicly traded investments. Strategy

ONCAP invests in small and mid-sized North American businesses that offer the opportunity to create significant growth in shareholder value over the long term through either minority or control ownership positions. Typically, these companies have an enterprise value of between $50 and $500 million.

ONCAP considers investment opportunities in a wide range of industry sectors. As part of the process to identify suitable investment opportunities, the ONCAP team devotes considerable resources to identify and develop a strong understanding of attractive industry sectors to pursue proactive investment and growth initiatives.

ONCAP invests in companies that offer meaningful organic and add-on acquisition growth opportunities. These opportunities are typically event driven and include, but are not limited to:

• Complete or partial sale of a closely held private company
• Sale of non-core asset by a larger corporate owner
• Company seeking equity capital to pursue key strategic initiatives
• Public company undertaking a going private transaction
